Terms of Service

By accessing or using the TIMEIN mobile application, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and TIMEIN, Inc. ("TIMEIN", "we", "us", or "our") governing your use of the Services.

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. TIMEIN will not be liable for any loss or damage arising from your failure to comply with this section.

The Services may allow you to post, upload, share, or otherwise make available content including workout data, photos, videos, comments, and other materials ("User Content"). You retain ownership of your User Content. However, by posting User Content, you grant TIMEIN a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services. You represent and warrant that you own or have the necessary rights to post your User Content and that your User Content does not violate any third-party rights or applicable laws.

You agree not to use the Services to: - Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. - Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. - Engage in any activity that interferes with or disrupts the Services or servers connected to the Services. - Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services. - Use the Services for any illegal purpose or in violation of any local, state, national, or international law. - Collect or harvest any information about other users without their consent. - Upload or transmit any viruses, worms, or other malicious code.

The Services and their original content, features, and functionality are and will remain the exclusive property of TIMEIN, Inc. and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TIMEIN, Inc. You may not reverse-engineer, decompile, or disassemble any portion of the Services, except to the extent such restriction is expressly prohibited by applicable law.

TIMEIN provides fitness-related content and tools for informational purposes only. The Services are not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider before beginning any exercise program, changing your diet, or making any health-related decisions. Never disregard professional medical advice or delay in seeking it because of something you have read on or through the Services. You assume all risks associated with using the Services and engaging in any physical activity recommended by the Services.

Certain features of the Services may require payment. You agree to pay all applicable fees and taxes associated with your use of the Services. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may cancel your subscription at any time through your account settings or the applicable app store. All payments are non-refundable except as required by applicable law or as explicitly stated in our Refund Policy.

TIMEIN Pro and TIMEIN Elite are auto-renewing subscriptions. When you subscribe in the iOS app through the App Store: • Payment is charged to your Apple ID account when you confirm the purchase. • Your subscription renews automatically at the end of each period unless auto-renew is turned off at least 24 hours before the end of the current period. • Your account is charged for the renewal within the 24 hours before the end of the current period. • You can manage or cancel your subscription, and turn off auto-renew, at any time in your App Store account settings (iPhone Settings > Apple ID > Subscriptions). Cancelling stops the next renewal; access continues until the end of the period you have already paid for. • If a free trial is offered, any unused portion of the free trial is forfeited when you purchase a subscription. The price and period of each subscription are shown in the app before you confirm the purchase. Purchases made through the App Store are also subject to Apple's terms, and refunds for those purchases are handled by Apple.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may terminate your account at any time by following the instructions in the Settings section of the app.

To the maximum extent permitted by applicable law, TIMEIN, Inc. and its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: - Your access to or use of or inability to access or use the Services. - Any conduct or content of any third party on the Services. - Any content obtained from the Services. - Unauthorized access, use, or alteration of your transmissions or content. In no event shall TIMEIN's total liability to you exceed the amount you have paid to TIMEIN in the twelve months preceding the claim.

You agree to defend, indemnify, and hold harmless TIMEIN, Inc. and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding the Services and supersede any prior agreements.
